Corporate Governance at CKLDON

As a key player in its industry, CKLDON’s business model revolves around engaged ownership, with a focus on creating value through responsible and transparent governance. Strong corporate governance is essential for CKLDON, both within our own organization and in the companies we partner with or manage.

CKLDON operates as a public entity, with its governance structured according to relevant legislation, regulations, and internal policies. Our approach ensures the clear distribution of authority, management, and control between shareholders, the Board of Directors, the CEO, and the management team, following established legal and corporate guidelines.

Governance Framework

Our corporate governance structure is grounded in a combination of external regulations and internal policies. These include applicable laws, codes of corporate governance, and the company’s Articles of Association. This framework guides all levels of CKLDON’s leadership, from shareholders to the Board and President, ensuring responsible and ethical management across the company.

Shareholder Influence and the Annual General Meeting (AGM)

The Annual General Meeting (AGM) is CKLDON’s highest decision-making authority, providing shareholders with the opportunity to influence the direction of the company. At the AGM, shareholders have the power to vote on major business matters, including the composition of the Board and executive leadership.

Role of the Nomination Committee

The Nomination Committee represents the interests of all shareholders and is responsible for proposing key decisions at the AGM. These include nominations for Board members and decisions related to remuneration, ensuring that CKLDON’s governance remains transparent and aligned with shareholders’ interests.

Board of Directors and Executive Management

On behalf of CKLDON’s shareholders, the Board of Directors supervises the overall management of the company’s operations. The Board, led by the Chairman, appoints the President, who is responsible for the day-to-day management of the company in accordance with the Board’s directives. The division of responsibilities between the Board and the President is detailed in the company’s Instructions and Rules of Procedures, which are reviewed and updated annually.

External Audit

CKLDON’s external auditor, appointed by the AGM, is tasked with auditing the Board’s and the President’s management of the company, ensuring full compliance with governance standards.
